These terms govern consulting and software development services provided by Saman Technologies LLC (“Samaan,” “we,” “us”) to clients (“you”).
Scope of work
Each engagement is governed by a written statement of work (SOW) or signed proposal describing deliverables, timeline, and fees. These terms apply to all engagements unless explicitly overridden in an SOW.
Fees and payment
- Fees are stated in USD and invoiced through Stripe.
- Hourly work is invoiced biweekly. Net 15.
- Project work follows the milestone schedule in the SOW.
- Retainers are invoiced monthly in advance.
- Late payments accrue 1.5% interest per month or the maximum permitted by Florida law.
Cancellation and refunds
- Completed hourly and project work is non-refundable.
- Project deposits are refundable in full within 7 days of signing if work has not commenced.
- Retainer engagements may be cancelled with 14 days written notice. Final invoice covers work completed through the notice period.
Ownership
- Work product specifically created for you (code, designs, documentation) becomes your property upon full payment.
- Underlying tools, libraries, methodologies, and pre-existing materials remain ours and are licensed to you for the purposes described in the SOW.
- We may reference the engagement in our portfolio in a manner that does not disclose confidential information.
Confidentiality
Both parties agree to keep non-public information shared during the engagement confidential, except where disclosure is required by law.
Warranty and liability
Services are provided on an “as-is” basis. We make no warranties beyond what is required by law. Our total liability under any engagement is capped at fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Termination
Either party may terminate an engagement with written notice as defined in the SOW or these terms. Termination does not relieve obligations accrued before the termination date.
Governing law
These terms are governed by the laws of the State of Florida. Disputes are subject to the exclusive jurisdiction of courts located in Pinellas County, Florida.
